THIS CONTEST IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY OR ASSOCIATED WITH FACEBOOK®.

ELIGIBILITY: This Contest is open only to legal residents of the fifty (50) United States and the District of Columbia, who are eighteen (18) years of age or older at the time of entry. Employees, officers, and directors (and their immediate families or those living in the same household) of zuuzs, LLC (“Sponsor”) and its respective affiliates, subsidiaries, divisions, parent and related companies, suppliers, printers and advertising, promotional and judging agencies are not eligible to enter or win.  Void outside the fifty (50) United States, the District of Columbia and where prohibited and restricted by law. The Contest is subject to all applicable federal, state and local laws, rules and regulations.

HOW TO ENTER: The Contest begins at 12:00:01 a.m. EDT on October 1, 2012 and ends at 11:59:59 p.m. EDT on November 19, 2012 (“Contest Term”). The Sponsor’s computer is the official time keeping device for online entry into the Contest. No entries into the Contest will be accepted before or after the Contest Term or as otherwise provided herein.  To register, you may be required to provide some or all of the following information: your name, age, and email address.

Beginning on October 1, you will be eligible to enter into the Contest if you do the following:

1. Sign-up on the Contest website http://www.zuuzstyle.com/youtube-competition/ (“Webpage”) and complete and submit a profile for review and approval by Sponsor.

2. Upon approval of your profile, upload and submit your 60-120 second video link as a reply to the Contest video posted on the Webpage.

3. Submissions will be accepted from October 1, 2012 through 11:59:59 p.m. EDT on November 4, 2012 (“Submission Deadline”).

All Submissions must be received by the Submission Deadline on 11:59:59 p.m. EDT on November 4, 2012

The Contest will be segmented into the following Three (3) categories—Beauty Tutorials, DIY/Design, and Fashion Tips.   You will be eligible to submit one Submission for each category, but are not required to submit entries for multiple categories.

Each timely received and otherwise eligible entry shall be included in the Contest. Neither Sponsor nor its agents are responsible for illegible, lost, stolen, late, damaged, incomplete, mutilated or misdirected entries or for any problems or technical malfunctions related to the electronic submission of entries. If all required information is not provided or entry is illegible, entry will be deemed ineligible. Any entries that do not comply with these Official Rules will be withdrawn, rejected and will be deemed ineligible for participation. Sponsor shall refuse submission of any entry that may be deemed profane or offensive, violates any laws, uses the intellectual property of another or otherwise does not comply with these Official Rules.

By entering the Contest, you acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and Sponsor from your entry or award of any prize.

ENTRY SPECIFICATIONS:  Each Submission must be your sole creative work and must not incorporate ideas or work of any other person or material that would require the consent of a third party in any jurisdiction or under any applicable law. Without limitation, the Submission must not infringe or violate any trademark, copyright, design, publicity right, privacy or any other right of any other person or entity, under any applicable law, in any part of the Contest territory. By submitting a Submission, you represent and warrant to Sponsor that the Submission and everything depicted therein are wholly original and do not infringe upon or otherwise violate any right of any person, entity, or any law, rule or regulation in any part of the Contest territory. Violation or breach of these representations or warranties may subject you to penalties and damages under applicable law.

By entering the Contest, you agree that the Sponsor may post your Submission or any part thereof on www.zuuzs.com, www.zuuzstyle.com, affiliated websites, social media sites such as Facebook® and Twitter (the “Sites”), or in its media outlets. Sponsor does not guarantee the posting of any entry. You understand that your name and biographical data (as included in the Submission) may also be posted on the Sites in connection with the Contest.

PRIZES AND APPROXIMATE RETAIL VALUE: There will be One (1) prize awarded to the Winner of each the three categories for a total of Three (3) Prizes as set forth below:

The total value of all Prizes to be awarded is $1,500.00. All federal, state, and local tax liabilities are the sole responsibility of the Winner. An IRS form 1099 will be issued if the value of the total prize meets the IRS reporting threshold. To do so, you will be required to complete IRS Form W-9, Request for Taxpayer Identification Number, prior to receiving your prize.  The gift cards are subject to terms and conditions specified by the entity issuing the card. Such conditions may include one or more of the following: cards may not be redeemable for cash or used for payment on accounts, for the payment for prior purchases, and may be non-refundable; cards may contain expiration dates, and may be redeemable only by legal residents of the United States. All other expenses relating to acceptance of Prize not explicitly stated herein are responsibility of Prize winner. All details of prize not specified herein shall be determined solely by Sponsor.

SELECTION OF WINNERS: Three (3) Prize Winners, one representing each category, will be selected by Sponsor.  Each Winner will be chosen as follows:

Initial Round:

Judges Vote—Beginning 12:00:01 a.m. EDT on October 1, 2012 through 11:59:59 p.m. EDT on November 4, 2012, a panel of judges selected by Sponsor will evaluate the Submissions and determine three (3) entrants that will move forward to the next round.  The judges’ decisions will be final and binding during the judges round. However, after the conclusion of the judges round, the judges will no longer participate in determining, which entrants move forward from subsequent rounds.

Public Likes- Beginning 12:00:01 a.m. EDT on October 1, 2012 through 11:59:59 p.m. EDT on November 4, 2012, site visitors will be able to “Like” their favorite Submissions.  The top three (3) entrants receiving the most “Likes” other than those selected by the Judges Vote, will move forward to the next round.

Final Round:

Public Voting—After the conclusion of the Initial Round and beginning 12:00:01 a.m. EDT on November 5, 2012 through 11:59:59 p.m. EDT on November 18, 2012, the Submissions will be evaluated by public vote and the judges will no longer participate in the voting process.  A person will be able to cast one (1) vote per day per video. Votes will be automatically tallied and displayed in a running feed on the Contest homepage. Voting will be conducted through an online survey format below each entrant’s profile. A voter will be required to provide a first and last name and a valid email address in order to cast a vote.

The Prize is guaranteed to be awarded.  The potential Winners will be selected based on the result of the public vote for the Final round which will be conducted on or about November 19, 2012.

The potential Winner will be required to sign and return an affidavit of eligibility, release of liability, and where lawful, a publicity consent and release agreement, and Form W-9 (if applicable) all within ten (10) days of notification or attempted notification.  Failure to return the documents and/or requested information, or the return of any prize or prize notification as undeliverable, or if a Winner is found to be ineligible or otherwise not in compliance with these Official Rules, the prize will be forfeited.

WINNER NOTIFICATION: Each Winner will be notified according to the contact information provided at the time of registration. Three (3) attempts will be made to contact a Winner within a five (5) day period. If a Winner fails to respond within the five (5) day period, or if an e-mail attempt is consistently returned as undeliverable, or if the selected Winner cannot accept or receive the prize for any reason within fourteen (14) days, or s/he is not in compliance with these Official Rules, the prize will be forfeited.

PRIZE CONDITIONS: No substitution for any prize will be permitted. If necessary due to unavailability of the Prize, a prize of equal or greater value will be awarded at the discretion of the Sponsor. Prize is not transferable, assignable or redeemable for cash. By entering this Contest and/or accepting the Prize, Winner and entrants hereby consent (except where prohibited by law) to the reasonable use by Sponsor of the Winner’s and entrant’s name, age, photograph, voice, Submission, likeness and/or image, and hometown address without any further compensation for any future promotional activity related to this Contest.

ODDS OF WINNING: Odds of winning a Prize depend on the total number of eligible entries received for the Contest.

CONDUCT OF PARTICIPATION: By entering the Contest, entrant affirms that he or she has read and agrees to abide by these Official Rules and the decisions of the judges and Sponsor. Sponsor reserves the right to disqualify any entrant acting in violation of the Official Rules or found tampering with the entry process or with the operation of the Contest or the website. The Contest is governed by the laws of the United States and, by entering, all Winners and entrants hereby submit to the jurisdiction and venue of the federal, state and local courts located in Dallas, Texas.

WARRANTIES AND CONSENTS:  By completing and submitting an entry, you: (a) represent and warrant that (i) you have read, and agree to be bound by, these Official Rules, and any applicable policies or procedures posted by Facebook®, (ii) based on these Official Rules, you are eligible to participate in the Contest, and (iii) all of the information provided as part of your entry is accurate, does not violate any third party’s legal rights (including without limitation rights of privacy and publicity), and otherwise does not violate applicable law; (b) you own the copyright in the Submission; (c) the Submission constitutes your own original work, and does not violate, in whole or in part, any existing copyright, trademark or intellectual property of any other person or entity; (d) you are unaware of any agreement that is inconsistent with the consent provided herein; (e) you have full power to enter the Contest and to convey your Submission to Sponsor; (f) consent to the use of your name and/or likeness, voice, Submission (in whole or in part), by Sponsor for promotional purposes (whether online, in print or through any other media now known or hereafter developed), without additional compensation or authorization unless prohibited by law; (g) agree to be bound by the interpretations of these Official Rules by Sponsor, which are final in all matters relating to the Contest; and (h) acknowledge that this Contest is in no way sponsored, endorsed, administered by or associated with Facebook®.

INTERNET: If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion to disqualify any person who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Contest.

ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE RELATED TO SPONSOR OR THE CONTEST OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

LIMITATIONS OF LIABILITY: Sponsor and each of its respective affiliates, subsidiaries, parent corporations, and their respective officers, directors, shareholders, employees and agents, are not responsible for any incorrect or inaccurate entry information, theft, tampering, destruction, or unauthorized access to, or alteration of entries; printing or other errors; and any entries which are late, lost, delayed, incomplete, misdirected, stolen, mutilated, illegible, or any combination thereof. Sponsor reserves the right to modify, suspend or terminate the Contest in the event that it becomes necessary due to circumstances beyond Sponsor’s control.

RELEASE OF LIABILITY: By participating, Winner and entrants agree to release, discharge, indemnify and hold harmless Sponsor, Facebook® and each of their respective affiliates, subsidiaries, parent corporations, and their officers, directors, employees, representatives and agents from and against any claims made by the Winner, entrants or any other third parties related in any way to the operation of this Contest, as well as any other claims, damages or liability due to any injuries, damages or losses (whether alleged, threatened, or actual) to any person or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Contest.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS:

“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.”

You expressly waive and release any right or benefit which you have or may have under Section 1542 of the Civil Code of the State of California, to the full extent that you may waive all such rights and benefits pertaining to the matters released here. In connection with such waiver and relinquishment, you acknowledge that you are aware that you may hereafter discover claims presently unknown or unsuspected, or facts in addition to or different from those which you now know or believe to be true, with respect to the matters released herein; nevertheless, it is your intention through this release to fully and finally and forever settle and release all such matters and claims relative thereto, which do not exist, may exist or heretofore have existed between yourself and Sponsor or Facebook®. The release herein given shall be and remain in effect as a full and complete release of such claims and matters notwithstanding the discovery or existence of any such additional or different claims or facts relative thereto.

PRIVACY: Any information collected will be subject to zuuzs.com’s Privacy Policy, located at http://www.zuuzs.com/about/privacy/ (the “Policy”). By entering the Contest, you acknowledge that you have agreed to such Policy and you consent to the collection, use and disclosure of your Personal Information for the purposes of administering this Contest in accordance with such Policy. If you wish to access or correct your Personal Information held by us, opt out of receiving further communications from us or our affiliated merchants or companies, or have other questions respecting our Policy, please contact us at [email protected].

OWNERSHIP OF ENTRIES:  Subject only to rights in your Personal Information, ALL ENTRIES BECOME THE PROPERTY OF SPONSOR AND WILL NOT BE RETURNED OR ACKNOWLEDGED. You will take all further acts necessary to effectuate the intent of these Official Rules, including, without limitation, executing and delivering to the Sponsor, all such agreements, contracts and any other documents to confirm Sponsor’s ownership of the entries.

FORCE MAJEURE: The failure of the Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities outside of the control of the Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

DISPUTES: Except where prohibited or otherwise outlined in these Official Rules, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate Texas State Court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.
